The Ecomuseum of the Valmalenco is governed by its Articles of Association and all members are obliged to comply with them.

Article 1 - NAME

It consists of the public association named:


The Association's head office is at the Municipality of Lanzada, via San Giovanni, No. 432.
The transfer of the head office must be approved by a straightforward majority of the Members' Meeting and does not involve any amendments of the articles of association.
The Association may set up branch offices.
The Association has an unlimited duration.


Article 3 – PRINCIPLES

The Association ”ECOMUSEUM OF THE VALMALENCO“ (hereinafter also referred to as Ecomuseum) is founded on the principle of bringing value to and preserving the territory and, for this purpose, it proposes to document, recover, provide evidence, safeguard and present not only the recorded history, the life, the people and the facts, the tangible and intangible culture, the natural landscape, the relationships between the natural environment and the environment affected by human activity, the life and work and the traditional local productions, but also the way in which the traditional settlements have shaped and evolved the landscape and geographical territory of the Valmalenco. Its aim is to manage the future development of the territory by a process of environmental, tourist, economic and social sustainability with the responsibility and participation of the entire local community.

The heritage of the Ecomuseum is understood to be tangible and intangible.
The local community possesses and is responsible for its heritage. The community is where the citizens are brought up, where they produce, consume, educate, pass on shared values. The community is the real protagonist of social development. Therefore, the Ecomuseum of the Valmalenco seeks and promotes the participation of the population.

The Association is not aligned to any party, it is not-for-profit and carries out activities of promotion and social benefit.
The income from the activities cannot under any circumstance be divided between the members even indirectly.

Article 4 – DEFINED AREA

The”ECOMUSEUM OF THE VALMALENCO“ refers to a specific territorial area, named Valmalenco, which includes the municipal territories of Lanzada, Chiesa Valmalenco, Caspoggio, Torre di Santa Maria and Spriana. Only one Ecomuseum is recognised on that territory, which is clearly identified and marked by its own landscape, environmental, socio-economic and historic features and with its own cultural identity.
In detail, the specific traits of the Valmalenco can be summarised as follows:
  1. a substantial natural heritage characterised at high altitude by spectacular peaks and glaciers, by splendid landscapes with an incomparable wealth of minerals, fauna and flora and at lower levels by an impressive environmental heritage, conceived and crafted by man's integration with the environment and the territory.
  2. a landscape of considerable value, benefitting from the historic diffusion of settlements into districts and from the effort made by the local populations, who shaped and adapted the territory, despite the morphological harshness and high ranges of heights, to make it unique in places for the variety of its vast Alpine landscape.
  3. a historic and cultural heritage of major importance. It is expressed in the centuries-old journey, which has seen the Valmalenco take centre stage in the political, military and religious events, which cast this portion of the Alpine chain into the wider structure of European history. Its distinguishing features can equally be seen in the style of local life, the works and the objects made over the centuries. This is a territory sprinkled with rural settlements (stone houses with the typical roofs of "slate tile" produced in the valley ), religious (churches, chapels, frescoes, expressions of devotion high in the mountains), a capillary "minor" road network (bridges, paths, mule tracks, covered ways), terracing with boundary strips and dry-stone walls, quarries, alpine pastures, etc.
  4. a unique socio-economic heritage, based on the centuries-old activity of extracting and working stone. The territory is scattered with quarries and mines, which have always been the linchpin of the economy and social development in the Valmalenco.
  5. a consolidated, long-term tradition of mountaineering and tourism.


  • strengthen the sense of belonging of local identities and recover and add value to the historic and cultural roots of the community, by collecting and archiving information, data, documents and other things which need to be catalogued;
  • create a Single Catalogue of the entire environmental and cultural heritage of the Valmalenco and a network which enables it to interact with the citizens;
  • encourage the communities, cultural and scholastic institutions and local associations to take an active part in the processes of adding value, research, active use and promotion of the cultural-tangible, intangible-social and environmental heritage of the Valmalenco, including the "skills" which have been handed down and the traditions;
  • conserve, recover and restore the environments of life and traditional trades to hand down the evidence and changes in the tangible and intangible culture, and to reconstruct the evolution in the customs of the life and work of the local people, their religious, cultural, recreational and productive traditions, their use of local resources, technologies, sources of energy and the materials used in their agricultural, craft and industrial production;
  • add value to the territories and their heritage of typical and historic properties, furniture and tools, work instruments, artistic and craft objects, musical instruments and any other object which may prove useful to closely reconstruct the internal and external environments of traditional life, to enable them to be protected and maintained, and to strengthen the local network links;
  • reconstruct the traditional environments of life and work to produce goods and services to offer visitors opportunities not only to use and sell local products, but also to study, and indulge in sport and leisure activities in general;
  • directly engage in studies and research to gain more in-depth knowledge and to enhance the unusual features of the ”ECOMUSEUM OF THE VALMALENCO“;
  • prepare, develop and identify specific sources of financing;
  • prepare tourist and cultural itineraries;
  • implement and manage training courses pertinent to the association's purpose;
  • design, implement and manage relevant cultural events for the aims of the Ecomuseum;
  • offer integrated packages to add value to and enjoy the Ecomuseum;
  • directly and indirectly produce, publish and diffuse books, information leaflets, magazines not daily papers, DVDs and similar, by print or by any other system, to discuss, debate and divulge the purpose and activities of the Ecomuseum;
  • encourage collaboration between members of the Ecomuseum and between the latter and other project groups;
  • facilitate the creation of new associations and extend new cultural and leisure activities and form types of consortiums between the Ecomuseum and the other cultural organisations;
  • promote and support scientific research and educational activities regarding the history, art and local traditions of the territory, by organising educational courses to raise awareness, seminars, conferences, publicity campaigns, displays and exhibitions, etc. in the field of environmental education and in the processes of sustainaible development;
  • collaborate with other institutes, museums, authorities, universities, historic archives in the field of research, knowledge and valorisation of the history and the environment of the Valmalenco;
  • specifically promote the presentation and protection of the typical landscapes of the Valmalenco;
  • recover, use and give added value the original languages, i.e. rural dialects, used in the various activities;
  • partecipate in the Network of Ecomuseums in Lombardy;
  • carry out any relevant, complementary or connected activity to the purposes listed above or at least relevant to the corporate purposes.



The Association ”ECOMUSEOUM OF THE VALMALENCO“ accepts as members all those (physical and legal persons, associations, orgianisations and every other public or private individual) that shares its purposes and accepts these articles of association and the internal regulations.
The number of members is unlimited.
SThe following membership categories are envisaged:
  • founder members: these are all the members who have contributed to the creation of the Association.
  • ordinary members: they are those who have joined after the creation of the Association and who pay the annual membership fee established by the Members' Meeting.
  • supporter members: they are those who wish to take part in the association projects and pay additional, voluntary, unlimited amounts.
The Assembly may also appoint honorary members and patrons from among the public and private individuals: patrons and honorary members are those who for their figure, for their attendance at the Association or for having contributed financially or carried out activities in favour of the Association or in support of its activities and valorisation. These members do not have the right to vote.

LThe Assembly may also appoint Friends of the ”ECOMUSEUM OF THE VALMALENCO“, i.e. those public and private, not-for-profit and not-for-commercial-gain associations which, although they have made no economic contribution, support the overall project to give the territory added value and have signed a memorandum of intent with the Association.

Not only physical persons, but also legal persons and institutional organisations can become members. In this case, the application for membership shall be signed by the legal representative.
The category of temporary members is not permitted.
The membership fee is non-transferable.

Membership is by written application signed by the applicant or by the legal representative who makes the application, stating full acceptance of these articles of association and the regulations.

The Members' Meeting decides whether to accept the application.
Grounds shall be given for any refusal and the final decision is made at the Meeting.

The applicant shall provide all personal data in the application form and shall pay the membership fee on acceptance of the application (which shall be returned in the event of a refusal).


Members have the right to elect the governing bodies of the ”ECOMUSEUM OF THE VALMALENCO“ and to be elected in same.
They have the right to receive information on the activities of the Association.
The members shall pay the fee and any association contributions within the terms given and comply with these articles of association and the internal regulations.
Registered members shall take part in the Association personally, voluntarily and free of charge, not for profit, even indirectly, according to their personal availability.


A member may withdraw from the Association by notifying the Advisory Board in writing.
Any member who infringes the duties established by the articles of association can be excluded from the Association.
Exclusion is decided by the Members' Meeting with a secret ballot and after having heard the justifications of the person involved.



The governing bodies of the ”ECOMUSEUM OF THE VALMALENCO“ are:
  • Members' Meeting;
  • Advisory Board;
  • Chairman.
All association posts are accepted and implemented free of charge.


The Members' Meeting is the executive governing body of the Association and consists of all the members. The Meeting can be either ordinary or extraordinary.
The ordinary Meeting approves the final account and the budget, decides the annual membership fee for the Ecomuseum, the general guidelines to programme the activity of the Ecomuseum, on the applications of new membership and on the exclusion of members, and on anything else required of it by law or by the articles of association or submitted to its examination by the Advisory Board.
The meeting is extraordinary when it is convened to amend the Articles of Association and to dissolve the Association. In all other cases it is an ordinary Meeting.
The Meeting shall be convened at least once a year.
Convocation of the Members' Meeting is by written notification, signed by the Chairman and sent at least 5 days before the meeting, by post, e-mail or fax, containing the place, date and time of the first and second call, with the agenda.
The Meeting may also be convened at the request of at least one third of the members and whenever the Advisory Board deems it necessary.


The Meeting elects the Chairman and the Advisory Board.

The Meeting decides on:
  • the approval of the final account and the budget;
  • the annual membership fee for the Ecomuseum;
  • the general guidelines to programme the activity of the Ecomuseum;
  • the approval of the internal regulations;
  • the applications of new members and the exclusion of members;
  • on anything else required of it by law or by the articles of association, or submitted to its examination by the Advisory Board.


The ordinary Meeting is considered duly attended at the first call if the majority of members with the right to vote are present; at the second call, which can be held on the same day, whatever the number of those present representing themselves or others.
Each person attending may represent no more than two people.
The decisions of the ordinary Meeting are made by the majority of those present and those representing by proxy, and expressed by an open vote, except for those concerning people and the positions of the people (or when the Meeting deems opportune).
The extraordinary Meeting approves any amendments to the articles of association with the presence of three quarters of the members and with a decision made by three quarters of those present; it can dissolve the Association and devolve the assets with the favourable vote of three quarters of the members.


The discussions and the decisions of the Meeting are summarised in the minutes drawn up by a member of the Meeting designated as secretary and signed by the Chairman.
Each member has the right to read the minutes (and to receive a copy of them).

Article 14 – ADVISORY BOARD/p>

The Advisory Board consists of three to five members, elected by the Meeting from among its members.
The Advisory Board is duly attended when the majority of its members are present.
The Advisory Board:
  • carries out all the ordinary and extraordinary administrative proceedings not explicitly the task of the Meeting;
  • draws up and presents the annual report on the activity of the Ecomuseum to the Meeting;
  • draws up and presents the final account and budget to the Meeting;
  • appoints the technical-scientific Committee to present the cultural projects in order to identify and achieve the objectives of the Association;
  • appoints the Coordinator of the Ecomuseum.
The members of the Advisory Board take part in the meetings without receiving any fee and/or token payment. The reimbursement of expenses for participation in the meetings or special engagements may be authorised.
The Advisory Board reamins in office for 3 (three) years.

Article 15 – CHAIRMAN

The Chairman is the legal representative for the”ECOMUSEUM OF THE VALMALENCO“.
  • he chairs the Advisory Board and the Members' Meeting;
  • he convenes the Members' Meeting and the Advisory Board for both the ordinary and extraordinary calls;
  • he ensures the Association operates correctly;
  • he signs the documents of the Association;
  • he takes care of relationships with Authorities, Institutions, public and private Enterprises and other organisations. He also establishes relationships of collaboration to support the individual initiatives of the Ecomuseum;
  • he convenes and chairs the Scientific Committee of the Ecomuseum.
  • He also remains in office for three years, as does the Advisory Board.
  • The vice chairman replaces the Chairman in the event of his absence or impediment.



The economic resources of the”ECOMUSEUM OF THE VALMALENCO“ consist of:
  • the annual membership fees and any voluntary contributions by the members, which may be requested according to the needs and the function of the Association;
  • contributions from public and private bodies and from any other physical or legal person;
  • any funds, donations, legacies;
  • any income for services provided by the Ecomuseum;
  • every other type of income permitted pursuant to Law No. 282/2000.
The Association is obliged to reinvest any surplus from management in the institutional activities envisaged by these articles of association.


The documents of the statement of account of the Association are annual and commence on the first of January each year.
The final account contains all the assets and liabilities sustained during the current year.
The budget contains the forecast of expenditure and income for the following financial year.
The statements of account are prepared by the Advisory Board and approved by the ordinary general Members' Meeting, with the majority established by these articles of association, They are filed at the head office of the Association at least twenty days before the Meeting and are available for every member to read.
IThe final account must be approved by 30 (thirtieth) April of the year following the end of the corporate financial period.


The possible dissolution of the Association shall only be decided by the Members' Meeting according to the procedures established by Art. 10. In this case, the assets remaining after liquidation are assigned for socially useful purposes.


In order to ensure it achieves the purposes of the articles of association, the”ECOMUSEUM OF THE VALMALENCO“ can join consortiums or coordinate with other ecomuseums or other associations operating within the same area or in complementary or synergic areas.


For anything not explicitly envisaged by these articles of association, the measures envisaged by the Italian Civil Code and by the laws in force on the subject shall be applied.
